LILT AirPods Promotion Incentive: Terms and Conditions
1) Sponsor
The sponsor is LILT, Inc. (“Sponsor”), a Delaware corporation with a registered address at 2 Embarcadero Center, Floor 8, San Francisco, CA 94111 USA.
2) Promotion Period
The promotion begins January 12, 2026 12:00AM PT] and ends March 31, 2026 11:59PM PT (the “Promotion Period”), or earlier if all prizes are awarded or the promotion is terminated under Section 13.
3) Eligibility
This promotion incentive is available only to individuals who, at the time of participation and prize award:
- are at least 18 years old (or the age of majority where they live, if higher),
- are participating in a business or professional capacity,
- are not employees, officers, or directors of Sponsor (or its affiliates) and are not immediate family members or household members of such persons,
- are associated with an organization that is within Sponsor’s Target Account List (TAL) and aligns with Sponsor’s Ideal Customer Profile (ICP),
- are a bona fide business prospect evaluating Sponsor’s services, and
- are not located in, and do not request shipment to, a location where awarding or shipping the prize would be prohibited or restricted by law, carrier limitation, or compliance requirements (including sanctions and export controls).
Sponsor may require proof of eligibility and may decline participation or prize fulfillment where Sponsor cannot reasonably comply with applicable law or policy requirements.
4) How to Qualify (First 15 Only)
To qualify during the Promotion Period, the participant must:
- Schedule and complete a sales meeting with Sponsor via Sponsor’s designated scheduling or landing page (a “Qualifying Meeting”).
- Provide accurate business contact information (name, title, company, business email, business phone, and country).
- Be associated with an organization that is within Sponsor’s TAL and aligns with Sponsor’s ICP, and be a bona fide business prospect evaluating Sponsor’s services in a role reasonably relevant to evaluation and purchasing.
- Be affirmatively confirmed by Sponsor’s sales team as meeting the criteria above (this confirmation is required).
Important: Scheduling a meeting does not qualify. The meeting must be completed and Sponsor must confirm qualification.
Limit: One (1) qualification per person.
5) Prizes; Approximate Retail Value
Fifteen (15) prizes will be awarded: Apple AirPods (model and color determined by Sponsor). Approximate retail value (“ARV”) per prize: USD $[ARV]. Total ARV: USD $[Total ARV].
Prizes are non-transferable. No substitution except Sponsor may substitute a prize of equal or greater value if necessary.
Apple is not a sponsor of this promotion.
6) Awarding and Determination of the First 15
Prizes will be awarded to the first fifteen (15) individuals who (i) complete a Qualifying Meeting and (ii) are confirmed by Sponsor’s sales team as qualified under Section 4.
Sponsor will determine, in its reasonable discretion, the order in which participants qualify and will make the final determination as to eligibility and qualification.
If a potential winner is ineligible, fails verification, declines, cannot receive shipment, or cannot be awarded a prize for compliance reasons, Sponsor will award the prize to the next person who qualifies.
7) Taxes; Duties; Customs
Winners are responsible for all taxes, VAT, duties, customs fees, brokerage fees, and any other costs related to receipt or use of the prize.
8) Shipping; Local Restrictions
Sponsor will ship prizes where feasible. Sponsor may require additional information for shipping and customs clearance. Sponsor may refuse shipment or cancel fulfillment if shipping is unavailable, impractical, or restricted by law or carrier limitations.
9) Compliance: Sanctions, Export Controls, Restricted Parties
Prize award and shipment are subject to applicable laws, including U.S. export controls and sanctions. Sponsor will not award or ship prizes where doing so would violate applicable law and may require winners to provide certifications or other information to support compliance screening.
10) Compliance: Employer Policies, Gifts, Conflicts, Procurement, Public Sector
By participating, entrants represent that accepting the prize does not violate any applicable law, regulation, or their employer’s gift, ethics, conflicts, or procurement policies.
Sponsor may deem ineligible, or require written employer approval for, individuals in higher-risk roles, including public sector employees, employees of state-owned or state-controlled entities, and individuals involved in active procurement or vendor selection.
Declining or being ineligible for the prize will not affect ongoing discussions with Sponsor.
11) Privacy
Sponsor processes personal information to administer the promotion, verify eligibility, award and ship prizes, and conduct sales follow-up consistent with Sponsor’s privacy practices. Sponsor’s Privacy Policy is available at https://lilt.com/legal/privacy.
12) Disclaimers; Limitation of Liability
Sponsor is not responsible for late or lost communications, scheduling failures, technical issues, or inability to participate or receive a prize due to time zones, connectivity, local restrictions, shipping limitations, or customs processing.
To the fullest extent permitted by law, entrants release Sponsor from claims arising out of participation or prize use, except where prohibited by applicable law.
13) Fraud; Abuse; Disqualification; Modification or Termination
Sponsor may disqualify entrants who tamper, act in bad faith, or provide inaccurate information. Sponsor may modify, suspend, or terminate the promotion if integrity or feasibility is compromised, including due to legal, regulatory, sanctions/export, or shipping constraints.
14) Governing Law; Venue
These Terms and Conditions are governed by California law (without regard to conflicts rules). Exclusive venue and jurisdiction are the courts of San Francisco County, California.
